THESE TERMS AND CONDITIONS ARE BINDING AND ENFORCEABLE AGAINST ALL PERSONS THAT ACCESS THE Exponªnt WEB SITE OR ANY PART THEREOF (THE Exponªnt WEB SITE) IN TERMS OF SECTION 11 OF THE ELECTRONIC COMMUNICATIONS AND TRANSACTIONS (ECT) ACT, 2002 (ACT 25 OF 2002).

1. DEFINITIONS AND INTERPRETATION
   
1.1 "Browser" means a software application that enables a User to display and interact with text, images, and other information typically located on a web page at a website on the World Wide Web (WWW) or a local area network. It is therefore a computer program which allows a person to read hyperlinked data messages.
   
1.2 "Caching" means high speed memory that stores data for relatively short periods of time, under computer control, in order to speed up data transmission or processing.
   
1.3 "Data message" means data generated, sent, received or stored by electronic means and includes:
   
  1.3.1 Voice, where the voice is used in an automated transaction.
     
  1.3.2 A stored record.
   
1.4  "Hyperlink" means a reference or link from some point in one data message directing a browser or other technology or functionality to another data message or point therein to another place in the same data message.
   
1.5 "Intercept" includes filter, scan, block, redirect, access, disrupt, copy, print, disclose, retain, use, collect, delete and/or record, in any format and in any manner.
   
1.6 "Malware" is a generic term derived from "mal" (i.e. maladjusted or malfunction) and "ware" (i.e. software and hardware). It is classified in the following four categories:
   
  1.6.1 Viruses, which are computer programs that could copy itself (self-replicating) and infect a computer without permission or knowledge of the User. A computer virus reproduces by making, possibly modified, copies of itself in the computer's memory, storage, or over a network. A virus therefore embeds itself in another program just as a real virus will manipulate the genetic structure of a host cell to implant a copy of it. Some viruses are programmed to damage the computer by damaging programs, deleting files, corrupt files, or reformatting the hard disk.
     
  1.6.2 Worms, which are self-replicating computer programs. It uses a network to send copies of itself to other nodes (computer workstations on the network infrastructure) and it may do so without any User intervention. Computer worms are programmed to harm the network (if only by consuming bandwidth).
     
  1.6.3 Trojans, which are programs that pretends to be something else, such as useful programs or even computer games. There are two common types of Trojans. The first is where useful software has been corrupted by a hacker by inserting malicious code that executes while a program is being used. The second is a standalone program that masquerades as something else, such as a game or image file, in order to trick the User into some misdirected complexity that is needed to carry out the program's objectives. The name comes from the fabled Trojan horse used by Greek and Spartan warriors to gain entry to the City of Troy. Trojans rely on people to send them to friends and co-workers.
     
  1.6.4 Spyware, which is software that is installed on a computer without the knowledge of the User, in order to steal information. It collects personal information about Users without their informed consent. Personal information is secretly recorded with a variety of techniques, including logging key strokes, recording Internet web browsing history, and scanning documents on the computer's hard disk. Stolen information/data could include important documents, passwords, and banking details.
   
1.7 "Spamming" means large volumes of messages (unsolicited mail) sent to addressees, which results in the flooding of the network, with the impact that real/important messages are either not received or considerably delayed.
   
1.8 "User" means any person (which includes public and private bodies) who enters or uses the Exponªnt's Web site, notwithstanding the fact that such a person only visited the home page of the Exponªnt Web site.
   
1.9 "Worker" means employee, contractor, consultant, service provider, and any other workers utilising Exponªnt's information resources.
   
1.10 References herein to the singular includes the plural and vice versa.
   
1.11 Notwithstanding the fact that hyperlinks in these Terms and Conditions to copyright notices and legislation should be deemed part of these Terms and Conditions in terms of Section 11 of the ECT Act, the fact that some or all of the hyperlinks may be non-operational, shall not play a role in determination of the validity and interpretation of these Terms and Conditions.
   
2. GENERAL
   
2.1 The Exponªnt Web site provides information on the Exponªnt profile and its business solutions and services in the Information Systems and Information Communications Technology (IS/ICT) and information security environments .
   
2.2 This Web site is the only official Web site of Exponªnt.
   
2.3 The views and opinions expressed on the Exponªnt Web site does not necessarily state or reflect those of their clients, suppliers and business partners.
   
3. ALLOWED USE AND LICENSE
   
3.1 Exponªnt licenses the User to view, download and print the content of the Exponªnt Web site, provided that such content is used for personal, educational and/or non-commercial purposes only.
   
3.2 Content from the Exponªnt Web site shall not be used or exploited by Users for any commercial and non-private purposes without the prior written consent of the CEO of Exponªnt.
   
3.3 Users may only access and use the Exponªnt Web site for legal purposes.
   
3.4 The caching (Section 74 of the ECT Act is applicable) of the Exponªnt Web site shall only be allowed if:
   
  3.4.1 The purpose of the caching is to make the onward transmission of the content from the Exponªnt Web site more efficient.
     
  3.4.2 The cached content is not modified in any manner whatsoever.
     
  3.4.3 The cached content is updated at least every 12 (twelve) hours.
     
  3.4.4 The cached content is removed or updated when so required by Exponªnt.
     
3.5 If any User uses content from the Exponªnt Web site in breach of the provisions detailed herein:
   
  3.5.1 Exponªnt reserve the right to claim damages from the User.
     
  3.5.2 Exponªnt reserve the right to institute criminal proceedings against the User.
     
  3.5.3 Exponªnt shall not be liable, in any manner whatsoever, for any damage, loss or liability that resulted from the use of such content by the User or any third party who obtained any content from the User.
     
3.6 Hyperlinks to the Exponªnt Web site from any other source shall be directed at the home page of the Exponªnt Web site. Exponªnt shall not be liable, in any manner whatsoever, for any damage, loss or liability that resulted from the use of content from the Exponªnt Web site, if such content was accessed through a hyperlink not directed at the home page of the Exponªnt Web site. Persons that wish to link to content beyond the home page of the Exponªnt Web site shall do so at their own risk and indemnify Exponªnt against any loss, liability or damage that may result from the use of content from the Exponªnt Web site, if such content was accessed through a hyperlink not directed at the home page of the Exponªnt Web site.
   
  Exponªnt's non-liability for deep linking is based on the fact that deep links bypass these Terms and Conditions.
   
3.7 Users may quote small and reasonable amounts of content available from the Exponªnt Web site only if such quote is placed in inverted commas and acknowledged, also indicating the date on which the content was obtained from the Exponªnt Web site.
   
3.8 No person may frame/imitate/copy the Exponªnt Web site, in any manner whatsoever, without the prior written consent of the CEO of Exponªnt.
   
3.9 Apart from bona-fide search engine operators and use of the search facility provided on the Exponªnt Web site by Users, no person may use or attempt to use any technology or applications (including Web crawlers (robots) or Web spiders) to search or copy content from the Exponªnt Web site for any purposes, without the prior written consent of Exponªnt.
   
3.10 All licenses and/or permissions granted in terms of clause 3 are provided on a non-exclusive and non-transferable basis and may be terminated or cancelled by Exponªnt at any time without giving reasons therefore.
   
4. INTELLECTUAL PROPERTY RIGHTS AND DOMAIN NAME USE
   
4.1 All intellectual property on the Exponªnt Web site, including but not limited to content, trademarks, domain names, patents, design elements, software, databases, text, graphics, icons and hyperlinks are the property of or licensed to Exponªnt and as such, are protected from infringement by domestic and international legislation and treaties. Subject to the rights licensed to the User in clause 3 (above), all other rights to intellectual property on the Exponªnt Web site are expressly reserved.
   
4.2 Users agree not to use the trade name Exponªnt, or any part thereof, as an element of a domain name or sub domain name, notwithstanding the fact that such domain name use or registration may be allowed in terms of trademark and/or constitutional law. Upon request to do so a User shall immediately cease to use such domain name and transfer it to Exponªnt at the cost of the User.
   
4.3 Users agree not to use the trade name of Exponªnt (Pty) Ltd that was registered on 2000-07-05 at the Registrar of Companies, which is available on request. The purpose of the registration is to protect the trade name against unauthorised use.
   
5. SOFTWARE AND EQUIPMENT
   
5.1 It is the responsibility of the User to acquire and maintain, at his/her own expense, the computer hardware, system and information security, software, lines and access accounts to access the Internet and the Exponªnt Web site and/or download content from this Web site.
   
6. DISCLOSURES REQUIRED BY SECTION 43 OF THE ECT ACT
   
6.1 Access to the services, content, software and content downloads available from the Exponªnt Web site is classified as "electronic transactions" in terms of the ECT Act and therefore Users have the rights detailed in Chapter 7 (VII) of the ECT Act and Exponªnt has the duty to disclose the following information:

  6.1.15 The costs associated with the access and use of the Exponªnt Web site: Service is free of charge.
     
  6.1.16 Alternative dispute resolution: Subject to urgent and/or interim relief, all disputes regarding-
     
    (a) access to the Exponªnt Web site;
       
    (b) the inability to access the Exponªnt Web site;
       
    (c) the services and content available from the Exponªnt Web site; or
       
    (d) these Terms and Conditions,
       
    shall be referred to arbitration in terms of the Exponªnt Dispute Resolution services available from http://www.exponant.com.
     
  6.1.17 Users may lodge complaints concerning the Exponªnt Web site with the Exponªnt Web Master: webmaster@exponant.com or the Exponªnt Information Security Manager at astrydom@exponant.com.
     
7. CHANGES AND AMENDMENTS
   
7.1 Exponªnt expressly reserves the right, in its sole and absolute discretion, to do any of the following, at any time without prior notice:
   
  7.1.1 Change these Terms and Conditions.
     
  7.1.2 Change the content and/or services available from the Exponªnt Web site.
     
  7.1.3 Discontinue any aspect of the Exponªnt Web site or service(s) available from the Exponªnt Web site.
     
  7.1.4 Change the software and hardware required to access and use the Exponªnt Web site.
     
8. PRIVACY
   
8.1 Exponªnt shall take all reasonable steps to protect the personal information of Users (i.e. information about an identifiable individual) and for the purpose of this clause, "personal information" shall be defined as detailed in the Promotion of Access to Information Act (PAIA) 2 of 2000. 8.2 Exponªnt may electronically collect, store and use, amongst other, the following personal information of Users:
   
  8.2.1 Name and surname.
     
  8.2.2 Contact details.
     
  8.2.3 Non-personal browsing habits and click patterns.
     
  8.2.4 E-mail address.
     
  8.2.5 Internet Protocol (IP) address.
     
  8.2.6 User selected password.
     
8.3 Exponªnt collects, stores and uses the above-mentioned information (indicated in clause 8.2 above) for the following purposes:
   
  8.3.1 Registration and/or authentication of User.
     
  8.3.2 Communicate requested information to the User.
     
  8.3.3 Provide the User with access to restricted pages on the Exponªnt Web site.
     
  8.3.4 To compile non-personal statistical information about browsing habits, click-patterns and access to the Exponªnt Web site.
     
8.4 Information detailed above is collected either electronically by using cookies or is provided voluntarily by the User. Users may determine cookie use independently through their browser settings.
   
8.5 Exponªnt may collect, maintain, save, compile, share, disclose and sell any information collected from Users, subject to the following provisions:
   
  8.5.1 Exponªnt shall not disclose personal information from Users unless the User consents thereto.
     
  8.5.2 Exponªnt shall disclose information without the User's consent only through due legal process.
     
  8.5.3 Exponªnt may compile, use and share any information that does not relate to any specific individual.
     
8.6 Exponªnt own and retain all rights to non-personal statistical information collected and compiled by Exponªnt.
   
9. HYPERLINKS TO THIRD PARTY SITES
   
9.1 Exponªnt may provide hyperlinks to Web sites not controlled by Exponªnt (target sites), which would appear to be useful to the Users of the Exponªnt Web site. Neither Exponªnt nor its workers necessarily endorse the views expressed, the information provided, or commercial products and services presented or advertised on those Web sites.
   
9.2 Exponªnt may provide hyperlinks to Web sites not controlled by Exponªnt (target sites) and such links do not imply any endorsement, agreement on or support for the content of such target sites.
   
9.3 Exponªnt does not editorially control the content on such target sites and shall not be liable, in any manner whatsoever, for the access to, inability to access or content available on or through such target sites.
   
10. SECURITY
   
10.1 Exponªnt shall take all reasonable steps to secure the content of the Exponªnt Web site and the information provided by and collected from Users from unauthorised access and/or disclosure. Exponªnt does, however, not make any warranties or representations that content shall be 100% safe and secure.
   
10.2 Exponªnt is under no legal duty to encrypt any content or communications from and to the Exponªnt Web site and is also under no legal duty to provide digital authentication of any page on the Exponªnt Web site.
   
10.3 Users may not deliver or attempt to deliver, whether on purpose or negligently, any malicious code (i.e. "Malware") to the Exponªnt Web site or the server and computer network that support the Exponªnt Web site.
   
10.4 Notwithstanding criminal prosecution, any person who delivers any malicious code to the Exponªnt Web site, whether on purpose or negligently, shall, without any limitation, indemnify and hold Exponªnt harmless against any and all liability, damages and losses Exponªnt and its partners/affiliates may suffer as a result of such damaging code.
   
10.5 Users may not develop, distribute or use any device to breach or overcome the security measures of the Exponªnt Web site and Exponªnt reserves the right to claim damages from any person/s concerned with a security failure or breach.
   
10.6 Users may not interfere with data or services in any way to cause data or services to be modified, destroyed or otherwise rendered ineffective (e.g. denial of service attacks).
   
10.7 Any User who commits any of the offences detailed in Sections 85 to 88 of the ECT Act shall, notwithstanding criminal prosecution, be liable for all resulting liability, loss or damages suffered and/or incurred by Exponªnt and its partners / affiliates. 11. DISCLAIMER AND LIMITATION OF LIABILITY
   
11.1 Subject to the provisions of Sections 43(5) and 43(6) of the ECT Act, if applicable, and as far as allowed by law, Exponªnt (including its owners, employees, suppliers, Internet service providers, partners, affiliates and agents) shall not be liable for any damage, loss or liability of any nature incurred by whomever and resulting from:
   
  11.1.1 Access to the Exponªnt Web site.
     
  11.1.2 Access to Web sites linked to the Exponªnt Web site.
     
  11.1.3 Inability to access the Exponªnt Web site.
     
  11.1.4 Inability to access Web sites linked to the Exponªnt Web site.
     
  11.1.5 Content available on the Exponªnt Web site.
     
  11.1.6 Services available from the Exponªnt Web site.
     
  11.1.7 Downloads and use of content from the Exponªnt Web site.
     
  11.1.8 Any other reason not directly related to Exponªnt's gross negligence.
     
11.2 The Exponªnt Web site is supplied on an "as-is" basis and has not been compiled to meet the User's individual requirements. It is the responsibility of the User to satisfy herself/himself, prior to entering into this agreement with Exponªnt, that the content available from and through the Exponªnt Web site meet the User's individual requirements and is compatible with the User's computer hardware and/or software.
   
11.3 Information, ideas and opinions expressed on the Exponªnt Web site should not be regarded as professional advice or the official opinion of Exponªnt and Users are encouraged to seek professional advice before taking any course of action related to the information, ideas or opinions expressed on the Exponªnt Web site.
   
11.4 Exponªnt does not make any warranties or representation that content and services available from the Exponªnt Web site will in all cases be true, complete, correct or free from any errors. Exponªnt shall, however, take all reasonable steps to ensure the quality and accuracy of content available from the Exponªnt Web site and encourage Users to report incorrect and untrue information subject to the right of Exponªnt to rely on its free expression rights and determine, in its sole and absolute discretion, the contents of this Web site.
   
11.5 Exponªnt does not make any warranties or representations that the Exponªnt Web site shall be available at all times. Users acknowledge that the Exponªnt Web site may be unavailable due to updates/maintenance or other causes beyond the reasonable control of Exponªnt's IS/ICT support personnel, including, but not limited to virus infection, unauthorised access (e.g. hacking), power failure, failure of systems (internal and external), Internet Service Provider (ISP) related failure, or other "acts of God".
   
12. REMOVAL AND CORRECTION OF CONTENT
   
12.1 Users are encouraged to report untrue, incomplete, inaccurate, defamatory, illegal, infringing and/or harmful content available from the Exponªnt Web site to Exponªnt (i.e. Web Master: webmaster@exponant.com or the Information Security Manager: astrydom@exponant.com) and Exponªnt undertakes to correct and/or remove such content or any part thereof if the person reporting such content provided reasonable grounds to prove the alleged nature of the content.
   
13. INTERCEPTION OF COMMUNICATIONS
   
13.1 Subject to the provisions of the Regulation of Interception of Communications (RIC) Act 70 of 2002, the User agrees to Exponªnt's right to intercept, block, filter, read, delete, disclose and use all communications sent or posted by the User to the Exponªnt Web site, and any worker of Exponªnt. 13.2 The User agrees and acknowledges that the consent provided by the User in clause 13.1 above, satisfies the "writing" requirement as detailed in the ECT Act and the RIC Act.
   
14. ENTIRE AGREEMENT AND SEVERABILITY
   
14.1 These Terms and Conditions constitute the entire agreement between Exponªnt and the User and shall take precedent over any disclaimers and/or legal notices attached to any communications and/or postings received by Exponªnt from the User.
   
14.2 Any failure by Exponªnt to exercise or enforce any right or provision shall in no way constitute a waiver of such right or provision.
   
14.3 In the event that any term or condition detailed herein is found unenforceable or invalid for any reason, such term(s) or condition(s) shall be severable from the remaining Terms and Conditions. The remaining Terms and Conditions shall remain enforceable and applicable.
   
15. AGREEMENT IN TERMS OF SECTION 21 OF THE ECT ACT
   
15.1 The User and Exponªnt agree that:
   
  15.1.1 The User shall be bound to these Term and Conditions and such agreement is concluded in Pretoria (South Africa) at the time the User enters the Exponªnt Web site for the first time.
     
  15.1.2 Data messages (as defined in the ECT Act) addressed by the User to Exponªnt shall only be deemed to have been received if and when responded to and/or acknowledges receipt.
     
  15.1.3 Data messages (as defined in the ECT Act) addressed to the User by Exponªnt shall be deemed to be received by the User as detailed in Section 23(b) of the ECT Act.
     
  15.1.4 Data messages (as defined in the ECT Act) addressed by the User to Exponªnt shall be deemed to have been created and send by the User from within the geographical boundaries of South Africa.
     
  15.1.5 All electronic communications between the User and Exponªnt is valid and legally binding regardless of whether security mechanisms are applied or not (e.g. electronic signatures and encryption).
     
  15.1.6 The User agrees and warrants that data messages that are sent to Exponªnt from a computer, IP address or mobile device normally used by or owned by the User, was sent and/or authorised by the User personally.
     
16. APPLICABLE AND GOVERNING LAW
   
16.1 Subject to clause 6.1.14 above, the Exponªnt Web site is hosted, controlled and operated from the Republic of South Africa and therefore the South African law enforced by the South African courts governs the use or inability to use the Exponªnt Web site, its content, services and these Terms and Conditions.
   
17. LEGAL COSTS
   
17.1 Exponªnt shall not be liable for costs incurred by Users to obtain professional advice relating to these Terms and Conditions.
   
18. ELECTRONIC MAIL (E-MAIL) LEGAL NOTICE
   
18.1 This e-mail legal notice is enforceable and binding on the recipient/addressee in terms of Sections 11(1) to 11(3) of the Electronic Communications and Transactions ("ECT") Act 25 of 2002. The ECT Act may be downloaded from: http://www.acts.co.za/ect_act/index.htm
   
18.2 This e-mail transmission contains confidential information, which is the property of Exponªnt. No person, other than the addressee/recipient (indicated by the sender) may use or disclose the contents of this message, links or attachments hereto, to any person whatsoever. Unauthorised disclosure and/or use may result in civil and criminal liability.
   
18.3 The information in this e-mail or attachments thereto is intended for the attention and use of the addressee only. If you are not the intended addressee/recipient, you are hereby notified that any disclosure, copying or distribution of the contents of this e-mail transmission or the taking of any action in reliance thereon or pursuant thereto, is strictly prohibited. Should you have received this e-mail in error, please delete and destroy it and any attachments thereto immediately. At no time may you act on the information contained therein.
   
18.4 The e-mail address of the sender may not be used, copied, sold, disclosed or incorporated into any database or mailing list for spamming and/or other marketing practices without the prior consent of Exponªnt.
   
18.5 Under no circumstances shall Exponªnt or the sender of this e-mail be liable to any party for any direct, indirect, special or consequential damages, including, without limitation, any loss of profits, business interruption, loss of programs or other data on information handling systems or otherwise, even if Exponªnt or the sender of this e-mail have been expressly advised of the possibility of such damages.
   
18.6 Any agreements concluded with Exponªnt by using electronic correspondence shall only come into effect once Exponªnt indicated such contract formation in a follow up or return communication.
   
18.7 No e-mail correspondence sent to Exponªnt shall be deemed to have been received until Exponªnt has responded thereto. An auto-reply shall not constitute such "response" for purposes of this clause.
   
18.8 No warranties are made or implied that any worker of Exponªnt is authorised to create and send this communication.
   
18.9 Exponªnt reserves the right to intercept, filter, view, block, delete, access, copy, read and act upon this e-mail messages and all e-mail messages send as reply messages to the e-mail address of the sender.
   
18.10 Exponªnt retains the copyright to all e-mail messages and attachments sent from its communications systems. The recipient/addressee is hereby licensed to open and read the message and/or attachments only – all other rights are reserved unless so indicated by the sender.
   
18.11 The views and opinions expressed in this e-mail message do not necessarily reflect the views and/or opinions of Exponªnt. If this e-mail message is used for purposes unrelated to the official business of Exponªnt, Exponªnt shall not be liable for any damage or loss caused by the contents of this message and the sender shall take full responsibility therefore in his/her sole and personal capacity.
   
18.12 Subject to urgent and interim court relief, all disputes and/or disagreements and/or damages and/or liabilities, in any manner related to the following-
   
  18.12.1 interpretation and enforceability of this e-mail legal notice;
     
  18.12.2 content (including message headers, links and/or attachments) of this e-mail message; and/or
     
  18.12.3 sending or receipt of this e-mail message,
